The following is a legal agreement between you and InstantImagers.com. Please read this agreement carefully before downloading any Instant Imagers Media. By downloading any media content, you agree to be bound by the terms of this agreement.

All Media is copyrighted. Instant Imagers or its suppliers own all rights to the Media. All rights are reserved by Instant Imagers unless otherwise granted to you. Your rights to use the Media are subject to this agreement and are conditional upon your payment for the Media to Instant Imagers. If at any time your account becomes delinquent, you relinquish all rights to all Media you have downloaded until all payments and interest are made. Account delinquency will result from credit card chargebacks. As long as the user’s account was current at the time the user downloaded the Media, they have the right to use that Image indefinitely, subject however, to the terms of this EULA(End User License Agreement).

By this Agreement, Instant Imagers grants you a personal, non-exclusive, non-transferable, right to use and reproduce the Media in the following ways:
1. On web sites, multimedia presentations, and broadcast film and video.
2. In magazines, newspapers, books, pamphlets, brochures, catalogs, book covers, textbooks, editorials, posters, greeting cards (paper), CD/DVD cover art, and advertising.
3. In connection with your business identity on letterhead, posters, brochures, or business cards.
4. As decoration in office, restaurant, public area, home, or store.
5. All other rights in the Media are expressly reserved by Instant Imagers for itself and on behalf of the respective copyright holders.

You may NOT:
6. Use an Image other than as specified in the preceding section.
7. Use the Media with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third party’s trademark or intellectual property.
8. Use the Media in a way that places a person in the photo in a bad light or depicts them in a way that they may find offensive- this includes pornography, tobacco ads, religious and political endorsements, defamatory, or otherwise unlawful or immoral content.
9. Resell any Media.
10. Share the Media by providing access on shared disk drives or network.
11. Use Instant Imagers' Media to compete with InstantImagers.com. This includes, by way of illustration, not by way of limitation, displaying Media in any format (including thumbnails) for download on a website. Offering Instant Imagers Media for sale, or including InstantImagers.com Media in templates for sale. You may not, for example, create an entire greeting card line based on Instant Imagers Media - or use our Media as the basis for a large collection of objects for sale. You may use the Media for 'collections of items' including paper greeting cards, display/sale items, magnets, promotional items, etc.
12. Use the Media in a website template that you plan to sell or transfer to others.
13. Use any Media as part of a trademark or patent image.
14. Use any Media as part of a logo.
15. Produce printed reproductions of any Media on canvas or paper to be sold.

"Non-transferable" as used herein means that except as provided in this EULA, you may not sell, rent, load, give, sublicense, or otherwise transfer to anyone the Media or the right to use the Media. In addition, the work you produce with the Media must be used for your direct employer, client, or customer, who must be the end user of your work. You agree to take all commercially responsible steps to prevent third parties from duplicating any Media. This may include invisibly watermarking the image and identifying that Instant Imagers owns the Media on the document you intend to use the Media.

You agree that you will not share your username and password combination. The username and password you use to purchase the Media is to be used only by you. You may use your username and password on ONE COMPUTER in your office or home at any one time. If any two users on two separate computers are using the same username and password, we reserve the right to terminate that account without refund or prior notice. We reserve the right to monitor accounts and institute mechanical or other means to stop users from sharing their login information.

You agree to indemnify and hold Instant Imagers, its officers, employees, shareholders, directors and suppliers harmless against any damages or liability or any kind arising from any use of the Media other than the uses expressly permitted by this Agreement.

Neither Instant Imagers or any of its directors, officers, employees, partners, licensors, or agents shall be liable for any damages, whether direct, indirect, consequential, or incidental, arising out of the use of, or the inability to use, any Media.

This Agreement shall be governed by the laws of the State of California. The venue of any action respecting this Agreement, any Media, or use thereof, shall be in he state and county of California. and not elsewhere.

If you are unsure of your rights under this agreement, or if you wish to use the Media in a matter not expressly permitted under this agreement, please contact Instant Imagers Support for a special license.

Instant Imagers makes no representations or warranties whatsoever as to the legality or validity of any Release associated with any Media.

You must satisfy yourself that all necessary rights, consents or permissions as may be required for Reproduction of any Media have been secured by you.
